General Terms

The following terms apply to all Prickly Cactus Software products and services.

1. Account Terms

1.1 Account Creation

• You must provide accurate information when creating an account
• You are responsible for all activity under your account
• You must notify us immediately of any unauthorized access
• Individual accounts are non-transferable

1.2 Firm Accounts

Some products offer firm-based licensing where an organization purchases seats for multiple users. For firm accounts:

• A designated administrator manages user access
• The firm is responsible for all user activity under its account
• User seats may be reassigned within the organization
• Firm accounts are bound by these terms and any additional enterprise agreements

2. Billing and Subscriptions

2.1 General Billing

• Subscriptions are billed in advance (monthly or annually)
• Annual subscriptions receive a discount where offered
• All prices are in US Dollars unless otherwise noted
• Payment processing is handled securely by Stripe

2.2 Cancellation

• You may cancel at any time
• Access continues until the end of your current billing period
• No refunds for partial billing periods
• Firm accounts may have additional cancellation terms per their agreement

3. AI Services

Some of our products include AI-powered features. Where AI services are offered:

3.1 AI Credit System

• AI usage is measured in credits, where each credit represents one AI interaction
• Credits are allocated based on your subscription plan
• Monthly credits reset on the first day of each calendar month (UTC)
• Unused monthly credits do not roll over
• Additional purchased credits do not expire

3.2 AI Fair Use Policy

• Automated or programmatic access to AI services is prohibited
• AI credits may not be resold or transferred
• Abuse of AI services may result in account suspension or termination

3.3 AI Data Processing

• Your queries and relevant context are sent to third-party AI providers
• AI providers may temporarily process your data to generate responses
• We do not train AI models on your personal data
• AI-generated content may contain errors; you are responsible for verification

3.4 AI Service Availability

• AI services are provided on an "as available" basis
• We may change AI providers or models to improve service
• Temporary outages do not entitle users to refunds

4. Data and Privacy

4.1 Your Data

• You retain ownership of all data you enter into our applications
• We do not sell your data to third parties
• Data may be stored locally on your device and/or in encrypted cloud storage

4.2 Data Retention

• Local data remains on your device under your control
• Cloud-synced data is retained while your account is active
• Deleted data is permanently removed within 30 days

5. Acceptable Use

You agree NOT to:

• Use our services for any illegal purpose
• Attempt to bypass usage limits or security measures
• Reverse engineer, decompile, or disassemble our software
• Share individual account credentials with others
• Use automated tools to access AI services
• Resell or redistribute our software without authorization

6. Intellectual Property

6.1 Our Property

All Prickly Cactus Software applications, documentation, and branding are owned by Prickly Cactus Software and are protected by copyright and trademark laws.

6.2 Your Content

You retain all rights to the content you create in our applications. By using AI features, you grant us a limited license to process your content solely for the purpose of providing AI-generated responses.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to our services is limited to the amount you paid to us in the twelve months preceding the claim.

7.3 Exclusions

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Changes to Terms

We may update these Terms of Service from time to time. Continued use of our services after changes become effective constitutes acceptance of the updated terms. Material changes will be communicated via email or in-application notification.
